Terms and conditions for Boilerplate-Stack license purchases

These Terms of Sale govern the purchase of Boilerplate-Stack licenses, a complete Next.js boilerplate for SaaS development, sold by AppLinker (SIRET: 99365366600012).
Boilerplate-Stack is a ready-to-use source code including: complete authentication, Stripe integration, multi-tenant architecture, multi-LLM AI integration, internationalization, and Docker deployment. The product is delivered as access to a private GitHub repository.
Three licenses are available: Solo (1 project, 12 months updates), Team (3 projects, 5 team members, 12 months updates, priority support), Agency (unlimited projects and members, 2 years updates, priority support). Each license is perpetual for the purchased version.
The license grants you the right to use, modify, and deploy the source code for your commercial or personal projects within your license limits. You may create derivative products for your clients. You may not resell, redistribute, or share the original source code.
Prices are displayed in euros (EUR), US dollars (USD), and British pounds (GBP). Payment is one-time and final, processed via Stripe. VAT applies according to your country of residence. Prices may be modified at any time without retroactive effect on completed purchases.
After payment validation, you will receive an email with instructions to access the private GitHub repository. The GitHub invitation is sent within 24 business hours. You must provide a valid GitHub username to receive access.
Updates are included for the duration specified in your license (12 months for Solo/Team, 2 years for Agency). After expiration, you retain access to the last downloaded version but will not receive new updates unless renewed.
Support is provided via our Discord server. Team and Agency licenses receive priority support. Support covers installation, configuration, and technical questions related to the boilerplate. It does not cover custom development for your project.
If you purchase as a consumer in the EU/EEA, the UK, or another jurisdiction granting a statutory cooling-off period, you normally have 14 days to withdraw from the purchase. However, because Boilerplate-Stack is digital content supplied immediately, when you complete your purchase you expressly request immediate performance and acknowledge that you lose your right of withdrawal once access to the source code or private repository has been granted (Article L221-28, 13° of the French Consumer Code / Article 16(m) of Directive 2011/83/EU). Until access has been delivered, eligible consumers may still withdraw and obtain a full refund. The statutory legal guarantee of conformity and the guarantee against hidden defects remain available to consumers and are not affected by this clause. Outside these statutory rights, and once access has been delivered, all sales are final and no refunds are possible. In case of a technical issue preventing access, contact us within 7 days.
The following is strictly prohibited: reselling or redistributing the source code, sharing your GitHub access with unauthorized third parties, using the code to create a direct competing product, removing copyright notices from the source code.
The code is provided "as is" without warranty of any kind, and we do not warrant that it is free of bugs, vulnerabilities, or defects. You are solely responsible for the security, configuration, deployment, compliance, monitoring, and operation of your deployments, including security audits, dependency and patch management, secrets management, and incident response. To the maximum extent permitted by applicable law, AppLinker's total liability is limited to the amount you paid for your license, and AppLinker cannot be held liable for any indirect or consequential damages, lost profits, lost data, security incidents, or business interruption resulting from the use of the product. This license is intended for professional and business use; where you purchase as a consumer, nothing herein excludes mandatory statutory rights that cannot be waived, and nothing excludes liability for gross negligence or willful misconduct.
AppLinker reserves the right to revoke repository access in case of violation of these Terms, particularly in case of unauthorized redistribution of the source code. No refund will be issued for revocation due to violation.
These Terms are governed by French law. Any dispute will be subject to the exclusive jurisdiction of the courts of Paris, France.

Your use of the Boilerplate-Stack source code is governed by our Commercial License. In case of conflict between these Terms and the Commercial License regarding source code usage, project limits, redistribution, sublicensing, ownership of derivative applications, update access, or competing product restrictions, the Commercial License applies.
