This Commercial License is provided for clarity and convenience. It is not formal legal advice. If you are using Boilerplate-Stack for a funded company, enterprise project, agency work, or an acquisition-sensitive product, we recommend reviewing this license with your own legal counsel.
Boilerplate-Stack is licensed as a commercial foundation for building software. Under the appropriate plan, you may use it to create SaaS products, web applications, internal business tools, and client projects. You receive the full source code through a private GitHub repository and the right to build real, revenue-generating products on top of it.
You may use Boilerplate-Stack to build, operate, launch, monetize, and scale commercial applications. This includes charging customers, running paid subscriptions, raising funding, and growing a business on top of the codebase, within the project limits of your plan.
You retain full ownership of your application, business logic, customer data, branding, content, and the original custom code you write on top of Boilerplate-Stack. We claim no ownership over the products or businesses you build. Ownership of the underlying Boilerplate-Stack source code itself remains with us and is governed by this license.
Each plan grants a specific number of projects and an included window of updates. There is no per-developer seat limit for normal internal team usage under the relevant plan — your team and contractors may all work on the licensed project(s).

No per-developer seat limit for normal internal usage under the relevant plan.
Solo is intended for one product or project. Team covers up to three projects. Agency covers unlimited projects and is the right choice for agencies, studios, client work, or companies building multiple products. If your usage grows beyond your current plan's project limit, upgrade to the appropriate plan.
Your team members and contractors may access the private repository when working on the licensed project, provided they are bound by confidentiality and do not redistribute, resell, sublicense, publish, or open-source the boilerplate. Access is granted for the purpose of building your licensed product, not for independent use of Boilerplate-Stack.
Internal usage across subsidiaries or entities under the same company or group may be permitted under the appropriate Team or Agency plan, provided the use is for building or operating the company's own products and not for redistributing the boilerplate. Choose the plan whose project limit matches the number of products being built.
You may transfer this license as part of a normal acquisition, merger, funding transaction, or sale of the company or product built with Boilerplate-Stack, as long as the boilerplate is not resold separately as a standalone software template or competing product. The license follows the product or business being transferred.
You may not resell, redistribute, publish, share, sublicense, open-source, or package Boilerplate-Stack itself, modified portions of it, or a substantially similar derivative as a boilerplate, starter kit, template, codebase, or developer tool.
You may open-source your own original application code. You may not open-source the Boilerplate-Stack source code, modified boilerplate portions, or anything that effectively redistributes the commercial product.
You may not use Boilerplate-Stack to create a competing boilerplate, starter kit, template, code generator, SaaS starter, developer toolkit, or any similar commercial or open-source product.
You may not sublicense Boilerplate-Stack, except as part of a permitted acquisition or transfer of the business or product built on top of it, as described in the acquisition and exit transfer section.
After your update access window expires, you may continue using the version you have already received. You will no longer receive future updates, improvements, patches, or new versions unless you renew or upgrade your plan.
No public attribution is required in products built with Boilerplate-Stack. You are free to ship your application without crediting the boilerplate.
Boilerplate-Stack is provided "as is" and "as available", without warranties of any kind, whether express or implied, including but not limited to implied warranties of merchantability, fitness for a particular purpose, non-infringement, or uninterrupted or error-free operation. We do not warrant that the source code is free of bugs, vulnerabilities, or defects. You are solely responsible for the security, configuration, deployment, compliance, monitoring, and operation of the applications you build, including security audits, dependency and patch management, secrets management, backups, and incident response. We are not responsible for the behavior, availability, or security of any third-party services, libraries, or infrastructure you integrate with or deploy on.
To the maximum extent permitted by applicable law, our total aggregate liability arising out of or related to Boilerplate-Stack is limited to the amount you paid for your license. We are not liable for any indirect, incidental, consequential, special, or punitive damages, or for lost profits, lost revenue, lost data, security incidents, or business interruption, including those arising from bugs, vulnerabilities, or defects in the source code or in the applications you build with it. Nothing in this license excludes or limits liability that cannot be excluded or limited under applicable law, including liability for gross negligence, willful misconduct, or any statutory rights that cannot be waived.
Boilerplate-Stack is sold and licensed for professional and business use, to customers acting for purposes relating to their trade, business, or profession. Where you purchase as a consumer, this license does not affect any mandatory statutory rights that cannot be waived under the consumer-protection laws applicable to you; in that case, the disclaimers and limitations above apply only to the extent permitted by those laws.
